Terms and Conditions

Besseggen InfoTech LLP is the stock broker. Tick2Trade is the brand and product through which Besseggen provides analysis and execution for equity cash, ETFs and F&O. Regulatory identity:

Unless the context requires otherwise:

• “Applicable Law” means all applicable Indian central, state and local laws, statutes, regulations, circulars, guidelines and directions having the force of law, including those of SEBI, exchanges, clearing corporations and depositories.
• “Account” means your Tick2Trade login and, where applicable, your trading / demat relationship with Besseggen.
• “Affiliate”means any entity that controls, is controlled by, or is under common control with Besseggen, where “control” has the meaning under Applicable Law.
• “Platform” means Tick2Trade as defined above.
• “Services”means stock broking and related Platform features offered by Besseggen through Tick2Trade for equity cash, ETFs and equity F&O on NSE and/or BSE, to the extent enabled for your Account and permitted under Applicable Law.
• “You” / “your” / “User” means any person who accesses or uses the Platform or avails the Services.

By completing registration or sign-up, submitting OTP / electronic confirmation, placing orders, or continuing to use the Platform, you confirm that you have read, understood and agree to be bound by these Terms and the Privacy Policy; that you are at least 18 years of age and competent to contract under Applicable Law; that you are duly authorised either in your individual capacity or as an authorised signatory; and that you can understand and access the Platform and associated documents in English.

You consent to Besseggen contacting you for transactional, service and regulatory communications (including OTP, order alerts, margin calls, contract notes and KYC notices) via email, SMS, call, push notification, in-app message or other channels. These cannot be fully opted out of while the Account remains open. Where permitted, Besseggen may send product updates or promotional messages; you may unsubscribe from marketing emails using the method provided.

You authorise Besseggen to collect, use and share information as described in the Privacy Policy, including for KYC, risk, settlement and regulatory purposes. Withdrawing consent or closing the Account does not extinguish obligations that already arose, or records Besseggen must retain as a SEBI-registered stock broker.

In scope.Subject to KYC, risk profiling, product activation, margins and Applicable Law, Besseggen may enable you through Tick2Trade to trade in equity cash, exchange-traded funds (ETFs), and equity futures and options (F&O) on NSE and BSE.

Out of scope. Besseggen does not, through Tick2Trade, offer, distribute or transact in mutual funds, bonds, debentures, commodities, currency derivatives, insurance, loans, or UPI payment services on the Platform. Calculators, guides, news or educational content that mention other products are for information only and do not constitute an offer of those products.

Besseggen may add, modify, suspend or withdraw products, features or markets on the Platform at its discretion, subject to Applicable Law and notices where required.

Tick2Trade is intended for persons who are legally eligible to open and operate a trading / demat account in India. Besseggen does not knowingly open broking accounts for children. Additional eligibility, residency, tax or product-suitability conditions may apply under account-opening documents and Applicable Law.

You represent that you are not barred from receiving the Services under Applicable Law or by any regulator, exchange or court. If you act for another person or entity, you represent that you are duly authorised to bind that person or entity to these Terms.

You must provide accurate, complete and up-to-date information during registration, KYC and ongoing use, and update it promptly when it changes.

You are responsible for safeguarding your login credentials, passwords, OTPs, PIN, device bindings and any authentication factors. You must not share them with anyone, including persons claiming to represent Tick2Trade or Besseggen.

You are responsible for all activity under your Account, except to the extent caused by Besseggen's proven wilful misconduct or gross negligence. Notify Besseggen immediately at support@tick2trade.com if you suspect unauthorised access or use.

Besseggen may require multi-factor authentication, device verification, session locks, PIN unlock, or other security measures, and may suspend access if it detects suspicious or non-compliant activity. You must not sell, transfer, assign or allow another person to use your Account.

Subject to these Terms, Besseggen grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely to avail the Services for your personal / authorised use.

You agree not to:

• use the Platform for any unlawful purpose or in violation of Applicable Law, exchange bye-laws, or SEBI regulations;
• reverse engineer, scrape (except as expressly permitted), overload, disrupt, or attempt unauthorised access to the Platform or related systems;
• upload malware, or interfere with other users' use of the Platform;
• misuse Besseggen's or exchanges' names, logos, registrations or certificates to solicit business or mislead the public;
• copy, redistribute or commercially exploit Platform content except as allowed by these Terms or Applicable Law;
• engage in market abuse, manipulation, spoofing, layering, or other prohibited trading practices;
• defame, harass, or publish unlawful, infringing or obscene material through the Platform;
• probe, scan or test the vulnerability of the Platform, or collect data about other Users for prohibited purposes.

Besseggen may monitor use of the Platform for security, compliance and service quality, subject to Applicable Law and the Privacy Policy.

The Platform — including software, design, text, graphics, logos, audio/video, data presentations, and the selection and arrangement thereof — and the Tick2Trade name and marks, are owned by Besseggen or its licensors and are protected by Applicable Law.

Except for the limited licence above, no rights are granted to you in Besseggen's or third parties' intellectual property. You may not use Tick2Trade or Besseggen marks without prior written consent, except as necessary to identify that you use the Platform.

Market data, corporate information and similar content may be sourced from exchanges or third parties and remain subject to their terms and Besseggen's licences.

Order placement, modification, cancellation, execution, clearing, settlement, margin, collateral, corporate actions, and related processes for equity cash, ETFs and equity F&O are subject to Applicable Law, exchange / clearing corporation / depository rules, and Besseggen's policies.

You authorise Besseggen to route and execute orders as instructed through the Platform (or other channels Besseggen accepts), and to take actions required for settlement, margin, risk management and regulatory compliance.

Besseggen does not provide investment advice, portfolio management, or a guarantee of returns through Tick2Trade unless a separate written engagement expressly says otherwise under Applicable Law. Charts, screeners, option chains, news, calculators and similar tools are informational / analytical aids only. You are solely responsible for your investment and trading decisions.

Execution is not guaranteed. Orders may be rejected, partially filled, delayed or fail due to market conditions, systems, connectivity, risk checks, insufficient funds/margin, product restrictions, or exchange / clearing issues.

You must maintain required margins and funds. Besseggen may square off, liquidate or restrict positions, or take other risk-management actions, in accordance with Applicable Law and its policies, including without prior notice where permitted or required.

Contract notes, statements and other regulatory communications will be provided in the manner prescribed (including electronic delivery where consented / permitted).

Market data and analytical tools may be delayed, incomplete or contain errors. Besseggen does not warrant uninterrupted or error-free data.

You must not redistribute market data obtained through the Platform in violation of exchange or vendor licence terms.

Investment in the securities market is subject to market risk. Read all related documents carefully before investing or trading.

• Equity cash securities may lose value, become illiquid, or be subject to corporate actions, suspensions or delisting.
• ETFs involve market risk, tracking error, liquidity risk (including of the underlying and of ETF units), and other risks described in scheme / offer documents and exchange materials.
• Equity F&Oinvolves leverage and can result in losses exceeding initial margin. Positions may be squared off due to margin shortfall or exchange rules. F&O is suitable only for investors who understand derivatives risk.

Nothing on the Platform reduces these risks or creates a duty for Besseggen to prevent losses from your trading decisions.

Brokerage, statutory charges, exchange / clearing / depository fees, taxes, platform fees (if any), and other charges apply as per Besseggen's published schedules, account-opening documents, and Applicable Law.

Besseggen may revise fees prospectively as permitted under Applicable Law and with notice where required. You authorise deduction of applicable charges from your Account / funds as per Applicable Law and account documents.

If you breach these Terms, Applicable Law, or exchange / SEBI rules, or if Besseggen reasonably believes your Account is used for fraud, market abuse or unauthorised access, Besseggen may warn you, restrict features, suspend or terminate access, report to exchanges / regulators / law enforcement, and take other remedies available under Applicable Law — without limiting any other rights.

Besseggen may suspend, restrict or terminate access to the Platform or Services, or close or freeze accounts, if required by Applicable Law, regulator or exchange direction, for KYC / AML failures, for breach of these Terms, for risk or security reasons, or for prolonged inactivity, subject to Applicable Law.

You may request closure of your Tick2Trade / broking relationship by contacting support@tick2trade.com, subject to settlement of positions, dues, and exchange / depository processes. Deleting the mobile application does not by itself close your broking Account or extinguish your obligations.

Provisions that by nature should survive (including intellectual property, disclaimers, liability limits, indemnity, governing law) survive termination.

The Platform and Services are provided on an “as is” and “as available” basis to the fullest extent permitted by Applicable Law.

Besseggen does not warrant that the Platform will be uninterrupted, timely, secure or error-free, or that defects will be corrected.

To the extent permitted by Applicable Law, Besseggen disclaims implied warranties of merchantability, fitness for a particular purpose and non-infringement.

To the fullest extent permitted by Applicable Law, Besseggen and its partners, officers, employees and agents shall not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for loss of profits, data, goodwill or business opportunity, arising out of or related to the Platform or Services.

Without limiting the above, Besseggen is not liable for losses arising from market movement, your trading decisions, exchange / depository / telecom / cloud failures, force majeure, or unauthorised access resulting from your failure to secure credentials — except to the extent liability cannot be excluded under Applicable Law (including proven wilful misconduct or gross negligence of Besseggen where Applicable Law so requires).

Where liability cannot be excluded, Besseggen's aggregate liability for claims arising out of these Terms or the Platform in any twelve-month period shall not exceed the fees paid by you to Besseggen for the Services giving rise to the claim during that period, to the extent such limitation is permitted by Applicable Law.

You agree to indemnify and hold harmless Besseggen and its officers, employees and agents from and against claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of your breach of these Terms, your violation of Applicable Law, or your misuse of the Platform or Services, except to the extent caused by Besseggen's proven wilful misconduct or gross negligence.

Besseggen shall not be liable for delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, shortages of transport, facilities, fuel, energy, labour or materials, or failures of utilities, internet, exchanges, clearing corporations or depositories.

Besseggen may update these Terms from time to time. The revised Terms are effective when published on the Platform. The “Last updated” date at the top will change. Continued use of Tick2Trade after an update means you accept the revised Terms. It is your responsibility to review these Terms periodically. Material changes may also be notified by email, in-app message, or a notice on the Platform, at Besseggen's discretion.

These Terms, together with the Privacy Policy and documents incorporated by reference, constitute the entire agreement between you and Besseggen regarding the Platform and Services, and supersede prior conflicting statements on the same subject, except that account-opening and exchange-prescribed documents prevail for their subject matter where required by Applicable Law.

If any provision is held invalid or unenforceable, the remaining provisions continue in full force. Failure to enforce a provision is not a waiver.

You may not assign these Terms without Besseggen's prior written consent. Besseggen may assign to a successor or Affiliate in connection with a reorganisation or transfer of its broking business, subject to Applicable Law.

Notices to you may be provided via the Platform, email, SMS or other contact details on record. Notices to Besseggen should be sent to the contacts in section 21.

These Terms are governed by the laws of India. Subject to any non-derogable statutory forum, courts at Gautam Buddha Nagar, Uttar Pradesh shall have exclusive jurisdiction over disputes arising out of these Terms or the Platform.
